1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms", "Terms and Conditions") constitute a legally binding agreement between you ("User", "you", or "your") and NCWB LTD, a company registered in England and Wales (Company Registration Number: [Insert Number]) with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("Company", "we", "us", or "our"), concerning your access to and use of the UsersFinder website (https://usersfinder.com) and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you must not access the Service.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Age Requirements

You must be of legal age in your jurisdiction to enter into contracts and make purchases to use our Service. By using our Service, you represent and warrant that you meet these requirements.

2.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Maintain the security and confidentiality of your login credentials

  • Accept responsibility for all activities under your account

  • Immediately notify us of any unauthorised use of your account

2.3 Account Termination

We reserve the right to suspend or terminate your account if:

  • You breach these Terms

  • You attempt to use our tools to create illegal content

  • You engage in fraudulent activity

  • You abuse or misuse the Service

  • You initiate fraudulent chargebacks

  • Required by law or court order

3. DESCRIPTION OF SERVICE

UsersFinder is a Software-as-a-Service (SaaS) platform providing AI-powered marketing tools, content generators, lead finding services, and curated databases designed to help businesses and entrepreneurs find and engage users for their products and services.

The Service includes but is not limited to:

  • AI content generation tools

  • Reddit leads automation

  • SEO keyword research tools

  • Directory and backlink databases

  • Marketing strategy generators

  • Website performance analysis tools

4. PRICING AND PAYMENT TERMS

4.1 Credit-Based System

Our Service operates on a credit-based system with NO RECURRING CHARGES OR SUBSCRIPTIONS:

  • Starter Package: $29 USD for 1,000 credits

  • Standard Package: $59 USD for 2,000 credits

  • Top-up Option: $15 USD for 500 credits

  • Each purchase is a ONE-TIME PAYMENT

  • Credits never expire while your account remains active

  • Credits are deducted only upon successful generation of outputs

  • No automatic renewals or recurring billing

4.2 Payment Processing

4.2.1 Third-Party Payment Processor

  • All payment transactions are processed securely by Stripe, Inc. ("Stripe")

  • By purchasing credits, you agree to be bound by Stripe's Terms of Service (https://stripe.com/legal/consumer)

  • We do NOT store, access, or have any visibility of your payment card information

  • All payment data is handled directly by Stripe, which is PCI-DSS Level 1 certified

4.2.2 Payment Authorization

  • You authorize us to instruct Stripe to charge your selected payment method for all purchases

  • You confirm that you are authorized to use the payment method provided

  • You are responsible for ensuring sufficient funds or credit availability

4.2.3 Payment Security and Fraud Prevention

  • Stripe may use cookies and device fingerprinting for fraud prevention

  • Additional verification may be required for certain transactions

  • Strong Customer Authentication (SCA) may be required for EU/UK customers

  • We reserve the right to refuse or cancel transactions suspected of fraud

  • Suspicious payment activity may result in account suspension pending investigation

4.3 Currency and Fees

  • All prices are displayed and charged in USD

  • You are responsible for any taxes, VAT, or GST in your jurisdiction

  • Your bank or card issuer may charge foreign transaction fees

  • Exchange rates are determined by your card issuer, not by us

  • We are not responsible for any additional bank or card fees

4.4 No Refund Policy

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE. Due to the nature of our Service, which includes:

  • Immediate access to AI-generated outputs

  • Access to high-value lead databases that can be copied once unlocked

  • Instant delivery of digital services

Refunds will only be considered in cases of:

  • Technical issues solely attributable to our Service that prevent access to purchased credits

  • Duplicate transactions caused by system error

  • Unauthorized transactions (subject to investigation)

4.5 Payment Disputes and Chargebacks

  • For payment issues, you must first contact us at vlad@usersfinder.com

  • You agree to make good faith efforts to resolve disputes before initiating chargebacks

  • Initiating a chargeback without attempting resolution may result in immediate account suspension

  • We reserve the right to provide transaction evidence to Stripe for dispute resolution

  • Fraudulent chargebacks will result in permanent account termination and potential legal action

  • If a chargeback is filed, all unused credits are immediately forfeited

4.6 Failed Transactions

  • If an AI tool fails to generate output due to our technical issues, credits will not be deducted

  • Failed payment attempts may be retried by Stripe

  • We are not responsible for failed transactions due to insufficient funds or payment method issues

5. INTELLECTUAL PROPERTY RIGHTS

5.1 User-Generated Content

You retain 100% ownership of all content generated through our Service, subject to the following conditions:

  • Content must not be used for illegal purposes

  • Content must comply with all applicable laws and regulations

  • You grant us a non-exclusive, royalty-free licence to use generated content for Service improvement purposes

5.2 Service Content

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of NCWB LTD or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.3 Usage Data

We retain all rights to aggregated, anonymised data about tool usage, credit consumption, and service interactions for the purpose of improving our Service, developing new features, and conducting business analytics.

6. ACCEPTABLE USE POLICY

6.1 Prohibited Uses

You agree not to use the Service to:

  • Generate or distribute illegal, harmful, defamatory, or offensive content

  • Violate any applicable laws or regulations

  • Infringe upon intellectual property rights of others

  • Engage in fraudulent or deceptive practices

  • Attempt to reverse engineer, decompile, or hack the Service

  • Use automated systems or software to extract data from the Service beyond intended use

  • Resell, redistribute, or sublicense the Service without explicit permission

  • Create content that promotes violence, discrimination, or illegal activities

  • Impersonate any person or entity

  • Interfere with or disrupt the Service or servers

  • Manipulate or abuse the payment system

  • Engage in payment fraud or chargeback abuse

6.2 Consequences of Violation

Violation of this Acceptable Use Policy may result in:

  • Immediate termination of your account

  • Forfeiture of all unused credits without refund

  • Legal action for damages

  • Reporting to relevant authorities

  • Provision of evidence to payment processors for fraud claims

7. DATA PROTECTION AND PRIVACY

7.1 GDPR Compliance

We are committed to protecting your privacy and comply with the General Data Protection Regulation (GDPR) and UK data protection laws.

7.2 Data Collection and Storage

  • We collect and store only your email address for account management

  • Payment information is collected and processed solely by Stripe

  • Data is stored using Google Cloud Firestore in us-central1 region

  • Reddit leads results are automatically deleted after 30 days

  • Other tool outputs are automatically deleted when new outputs are generated

  • We use cookies and similar technologies as described in our Privacy Policy

7.3 Third-Party Services

We use the following third-party services:

  • Stripe, Inc. for payment processing

  • Google Cloud Platform for hosting and data storage

  • Google Gemini API for AI services

  • OpenAI ChatGPT API for AI services

  • Anthropic Claude API for AI services

  • Google Analytics for website analytics

  • Microsoft Clarity for user behaviour tracking

  • Facebook Pixel for advertising on Meta platforms

7.4 Data Processing

By using our Service, you acknowledge and agree that your data may be processed by these third-party services in accordance with their respective privacy policies.

8. SERVICE AVAILABILITY AND LIMITATIONS

8.1 Service Availability

We strive to maintain Service availability in accordance with Google Cloud Platform's hosting policies. However, we do not guarantee uninterrupted or error-free operation of the Service.

8.2 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Service

  • Change credit costs for tools with reasonable notice

  • Update features and functionality

  • Implement usage limits to prevent abuse

8.3 Beta Features

Some features may be released in beta. Beta features are provided "as is" without warranties and may be discontinued at any time.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1 Service Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 Content Disclaimer

We do not warrant that:

  • The Service will meet your specific requirements

  • AI-generated content will be accurate, complete, or error-free

  • Results from lead generation tools will convert to actual customers

  • SEO or marketing strategies will achieve specific results

9.3 Payment Processing Disclaimer

We are not responsible for:

  • Payment processing errors or delays caused by Stripe or financial institutions

  • Incorrect payment information provided by you

  • Bank fees, foreign transaction fees, or currency conversion charges

  • Payment method restrictions imposed by your bank or card issuer

  • Stripe's system availability or technical issues

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NCWB LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, data, use, goodwill, or other intangible losses

  • Damages exceeding the amount paid by you to us in the twelve (12) months preceding the claim

  • Any matter beyond our reasonable control

9.5 User Responsibility

You acknowledge that:

  • You are solely responsible for your use of generated content

  • You must ensure all content complies with applicable laws

  • You are responsible for the success or failure of your marketing efforts

  • We are not responsible for third-party actions or content

  • You are responsible for maintaining the security of your account

10. INDEMNIFICATION

9.1 Service Disclaimer

You agree to defend, indemnify, and hold harmless NCWB LTD, its affiliates, licensors, and service providers (including Stripe), and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms

  • Your use of the Service

  • Content you generate using the Service

  • Your violation of any law or rights of a third party

  • Payment disputes or chargebacks initiated by you

  • Your fraudulent or abusive behavior

11. INDEMNIFICATION

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in London, United Kingdom, in accordance with the rules of the London Court of International Arbitration (LCIA).

11.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

11.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.

12. MISCELLANEOUS

12.1 Entire Agreement

These Terms constitute the entire agreement between you and NCWB LTD regarding the Service and supersede all prior agreements and understandings.

12.2 Amendments

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Service announcement. Continued use after changes constitutes acceptance.

12.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.4 Waiver

Failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

12.6 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.

12.8 Survival

Stripe is an intended third-party beneficiary of these Terms with respect to payment processing provisions and may enforce such provisions directly.
